Operating Partner Agreement

This Operating Partner Agreement is between Castle Records, LLC and the Operating Partner identified below. It sets out role, compensation (separate from ownership), equity/membership interest and vesting, and intellectual-property terms, consistent with the Company’s Operating Agreement. The Operating Agreement controls in any conflict regarding ownership.

This is a company partnership document. Before signing, have a California-licensed business/entertainment attorney and a CPA review it. Consider a Section 83(b) election within 30 days of grant.

Compensation under this agreement is for services rendered and is separate from, and in addition to, the Operating Partner’s ownership interest under the Operating Agreement. Ceasing to receive compensation does not by itself affect vested ownership.

Acknowledgements

All sound recordings, masters, beats, stems, mixes, edits, software, written materials, branding, and other work product created by the Operating Partner for the Company, on Company time, or using Company resources or premises is the sole property of the Company (“works made for hire” where applicable). The Operating Partner agrees to confidentiality, non-solicitation, and the duties of loyalty and care described in the full agreement.
